국제물품매매계약에 관한 Vienna협약과 동 협약의 이행부분에 해당하는 각론의 성격을 지니는 무역조건해석에 관한 국제규칙(Incoterms), 신용장통일규칙(UCP), 국제운송(육·해·항공, 복합운송)에 관한 국제규칙(Hamburg Rulies, CGS, URSW, RE, BL 등) 그리고 사후관리부분에 해당하는 국제상사중재규칙(UNCITRAL AR, ICC AR)등을 상호연관시켜 강의하면서, 이러한 법들의 이론적 근거가 되는 영미보통법(Common Law), 미국통일상법전(UCC), 영국물품매매법(SGA)을 이론과 비교한 후, 실제 Case Studies를 통한 연습을 한다.
- Course Objectives
At the end of the semester, the students will be able to:
● Identify contract components and understand the process from start
to finish
● Select the right contract type for their project
● Decipher contract legalese
● Choose the offer that will result in the best value for the buyer
● Agree on objectives, requirements, plans and specifications
● Negotiate favorable terms and make revisions to the contract
● Apply rules of contract interpretation in project disputes
● Administer contracts appropriately, and know when and how to
terminate before or upon completion

STUDENTS ARE REQUIRED TO ATTEND A SCHEDULED ACADEMIC COUNSELING FOR FOLLOW UP QUERY, BUILDING RAPPORT AND GUIDANCE IN RELATION WITH SUBJECT MATTERS. HOWEVER, STUDENTS ARE WELCOME TO SET AN APPOINTMENT BEYOND SCHEDULED TIME.
IN ORDER TO BEST ACHIEVE THE ABOVE MENTIONED LEARNING OUTCOMES THE CLASSES WILL HAVE THE FOLLOWING FORMATS
(1) LECTURES TO LEARN THEORIES AND BASICS ;
(2) TUTORIALS (OR PRACTICAL CLASSES) TO DRILL THE CONCEPT AND THEORIES LEARNED DURING THE LECTURES;
(3) PRESENTATION REQUIRING MORE PRACTICE PARTICIPATION;
(4) A RESEARCH PROJECT TO IMPROVE RESEARCH SKILLS AND FACILITATE STUDENTS' SELF LEARNING.

- Practical application of the course
This course provides practical, in-depth guidance on both carrying out the “routine” but vital responsibilities of contract administration and handling the challenges that typically arise during the life of a contract. Participants will learn how to use a proactive team approach to successfully administer contracts of all types and sizes to increase profitability and improve customer satisfaction. This course introduces and clarifies basic contract administration principles, policies, responsibilities, and proven best practices. Using this foundation, participants will then learn how to get contract performance off to a good start through planning and kick-off activities. Participants will also learn the importance of documentation and which specific types of records and files must be maintained to protect their organization's interests.
The course is highly interactive, using discussion, exercises and case studies to teach effective approaches to analyzing contract terms and conditions, assuring quality, managing changes, resolving disputes and remedying inadequate performance. Participants will also see how
different legal systems affect contract administration practices.
